These terms govern your use of yellowace.com and the Yellow Ace client portal, operated by Yellow Ace Pty Ltd (ABN 69 673 978 946, ACN 673 978 946) ("Yellow Ace", "we", "us") of Perth, Australia. By using the website or portal you agree to them.
Sections 5 and 6 summarise how our consulting engagements work so you know what to expect before you book. The binding terms for an engagement are set out in the agreement we sign with your organisation and, for deposits, in our Deposit Terms & Conditions. If those documents conflict with these terms, the signed agreement prevails, then the Deposit Terms & Conditions, then these terms. Our Privacy Policy explains how we handle personal information.
2. Using our website
The website's content is general information about our services, not professional advice for your situation.
You may browse, link to, and share our content for its intended purpose. You may not scrape the site, probe or overload our systems, submit false enquiries, or attempt to access data or accounts that aren't yours.
The website links to third-party services (for example LinkedIn profiles and Microsoft's meeting booking page). Those services have their own terms and we aren't responsible for them.
We aim to keep the website available and accurate but don't guarantee uninterrupted access, and we may change or remove content at any time.
3. Portal accounts
Portal accounts are created for people at client organisations: by us, or by your organisation's account owner or administrators, who control your role and permissions.
Sign-in is handled by Microsoft Entra External ID. Keep your sign-in credentials secure and tell us promptly if you suspect your account is compromised. You are responsible for actions taken through your account.
Your organisation is responsible for the accuracy of the details it records about its people and contacts, and for removing access when someone leaves.
We may suspend or remove access that we reasonably believe is compromised, misused, or in breach of these terms.
4. Intellectual property
The website, our branding, and our published content belong to us or our licensors. Don't reuse them beyond ordinary browsing and sharing without permission.
For consulting engagements: the work we deliver for you is yours: code lands in your repositories, under your accounts, as we go, and ownership of the deliverables sits with your organisation from creation, as detailed in the signed agreement.
We retain ownership of our pre-existing materials, know-how, and general-purpose tools and techniques; where they are embedded in your deliverables you get a licence to use them as part of the deliverables.
5. How engagements work
This section is a summary of our booking model so there are no surprises. The signed agreement and Deposit Terms & Conditions govern.
5.1 Tiers
Current rates are shown on the booking page and confirmed in your proposal before any deposit is due. Rates are in Australian dollars unless we agree otherwise.
Tier | What you get
Standard | The full embedded team (two developers) flexed across your priorities for each booked month.
Premium | One named developer, guaranteed for your engagement, not whoever is free that month.
Ultra | Premium, plus a standing backup: if your named developer is on leave, their teammate steps in so delivery continues.
5.2 Booking months
Bookings are made by calendar month (whole months, not specific dates) starting no earlier than the current month and up to two years ahead.
A booking can name up to two client organisations as parties with equal rights to view, extend, and cancel it; one of them is the billing party and receives the invoices.
Engagements run month to month. Most run one to three months; longer runs are booked as contiguous months or extended as you go.
5.3 Holds, discovery, and confirmation
Picking a month places a hold: no payment and no card details. We then scope the work together on a discovery call.
If we both agree it's a fit, a deposit (or, at our discretion, a waiver) confirms the booking and locks your start month and team: see the Deposit Terms & Conditions. The services agreement is signed as part of the same onboarding.
If it doesn't come together after the call, the hold is released and the month goes back on the board.
5.4 Extending
A live booking can be extended to later months (within the two-year window), subject to availability. Back-to-back extensions keep your team and never need another deposit.
A new booking that isn't contiguous with an existing one is a new engagement, with its own deposit.
5.5 The queue
If your month is full, you can join the queue: one live entry per organisation, held in join order.
When a slot opens we make offers in queue order. Offers don't expire; declining returns you to the queue with your place kept. Joining the queue creates no obligation for either of us.
Accepting an offer places a normal hold, and the usual discovery-call and deposit steps follow.
5.6 Cancelling
A month that is in progress always runs to its end; cancellation takes effect from the next month at the earliest. Months that haven't started can be cancelled.
Our notice point is the 15th of the month at 5:00pm Perth time (UTC+8). Cancel on or before it and the following month simply doesn't proceed. Cancel after it and the next month's invoice may already have been issued; we'll credit or cancel that invoice; late notice doesn't commit you to the month.
Deposit consequences of cancelling before your engagement starts are in the Deposit Terms & Conditions.
6. Invoicing and payment
Each booked month is invoiced to the billing party about seven days before the month starts, and is payable before the month begins.
Your rate is the flat monthly rate agreed in your proposal: no timesheets, no surprise line items.
Payment is by invoice and bank transfer. We don't process card payments and never ask for card details.
Amounts are exclusive of GST.
7. The CMS platform
Editing and publishing website content through our CMS requires a current licence for your organisation (and the relevant portal permissions). When a licence expires or is suspended, editing stops but your content remains.
You are responsible for the content your organisation publishes through the CMS, including having the rights to it and its compliance with law. We host and process it as your service provider, as described in our Privacy Policy.
We may remove or disable content that we reasonably believe is unlawful or puts the platform or others at risk, and we'll tell you when we do.
8. Service levels and support
We track internal response and resolution targets for messages you send us through the portal, and monitor them continuously. These targets are how we manage ourselves; they aren't a contractual service level, and no service credits attach to them unless your signed agreement says otherwise.
9. Consumer guarantees and liability
Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law or other law that cannot be excluded.
Where the law lets us limit our liability for a failure of a consumer guarantee in relation to services, our liability is limited, at our option, to supplying the services again or paying the cost of having them supplied again.
Subject to the above, and to the extent permitted by law: we aren't liable for indirect or consequential loss, and our total liability arising out of the website, portal, or an engagement is capped at the fees paid for the engagement in question.
You are responsible for maintaining your own backups of content and data you can export, and for your use of deliverables once handed over.
10. Suspension and termination of access
We may suspend or terminate access to the website or portal for conduct that breaches these terms, threatens the security or integrity of our systems, or is unlawful. Where reasonable we'll warn you first and lift the suspension once the issue is resolved. Suspension of portal access doesn't cancel an engagement or affect either side's accrued rights.
11. General
These terms are governed by the laws of Western Australia, and courts with jurisdiction there.
If part of these terms is found unenforceable, the rest still applies.
We may update these terms from time to time; the current version lives at yellowace.com/terms with its last-updated date. Changes don't apply retrospectively to a confirmed engagement.
